1. Agreement to Terms
By participating in the ALPrints.ca Artist Showcase Program (“the Program”), you (“the Artist”) agree to the following terms and conditions. These terms govern your participation and the sale of your artwork through ALPrints.ca. If you do not agree to these terms, you may not participate in the Program.
2. Ownership and Rights
- Ownership of Artwork: By submitting artwork to ALPrints.ca, you confirm that you are the sole owner of the artwork and have all necessary rights to sell, license, and reproduce it.
- Intellectual Property Rights: You retain full ownership and intellectual property rights to your artwork. By participating in the Program, you grant ALPrints.ca a non-exclusive, royalty-free license to reproduce, display, and sell your artwork on aluminum prints. ALPrints.ca does not claim ownership of your artwork and will only use it for the purposes agreed upon in this Program.
- Prohibited Content: You must not submit artwork that infringes on the rights of any third party, contains illegal content, or violates community standards.
3. Pricing and Commissions
- Suggested Retail Prices: ALPrints.ca will provide suggested retail prices for aluminum prints based on size. You may set prices higher or lower than these suggested prices.
- Minimum Price Policy: You may not set a price lower than the minimum price, which is calculated as the suggested retail price minus your commission.
- Commission Structure:
- You earn a fixed commission on sales made at the suggested retail price.
- For sales above the suggested retail price, you retain 100% of the additional amount as extra commission.
- For sales below the suggested retail price, your commission decreases dollar-for-dollar with the discount, and no commission is earned for sales made at the minimum price.
4. Payments
- Monthly Reporting: ALPrints.ca will generate a report at the end of each month summarizing your sales and commissions earned.
- Payout Schedule: Commissions will be paid out by the 15th of the following month for sales made in the prior month. Minimum commission of $20 must have accrued otherwise will roll into future months until minimum is reached.
- Payment Methods: Payments will be made via the method specified in your account (e.g., PayPal, direct deposit). It is your responsibility to ensure payment details are accurate.
- Disputes: If you believe there is an error in your sales report or payment, you must contact ALPrints.ca within 5 business days of receiving the report.
5. Termination
- Voluntary Termination: You may terminate your participation in the Program at any time by providing ALPrints.ca with a written notice at least 30 days in advance.
- Termination by ALPrints.ca: ALPrints.ca reserves the right to terminate your participation in the Program with a 30-day written notice or immediately if you violate these terms, submit prohibited content, or engage in fraudulent activity.
- Effect of Termination: Upon termination, ALPrints.ca will cease selling your artwork and remove it from the platform. Any commissions earned prior to termination will be paid out as per the usual schedule.
6. Responsibilities and Liability
- Artist Responsibilities: You are responsible for ensuring that your artwork complies with all applicable laws and regulations and does not infringe on the rights of any third party.
- ALPrints.ca Responsibilities: ALPrints.ca will handle the production, fulfillment, and shipping of aluminum prints and provide monthly reports on sales and commissions.
- Liability Limitation: ALPrints.ca is not liable for any damages, loss of income, or disputes arising from your participation in the Program.
7. Amendments to Terms
ALPrints.ca reserves the right to update or modify these terms and conditions at any time. You will be notified of any significant changes, and continued participation in the Program constitutes your acceptance of the updated terms.
8. Governing Law
These terms and conditions are governed by the laws of Manitoba, and any disputes arising from the Program shall be subject to the exclusive jurisdiction of the courts in Winnipeg, MB.
